These Terms of Service ("Terms") govern your access to and use of the Composable Type application and related services (the "Services"), provided by Smalhaus, an independent software studio based in New York, NY ("we," "us," or "our").
By installing, accessing, or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and capable of entering into a binding agreement to use the Services.
You agree that you are using the Services for business purposes on behalf of a Shopify store.
2. Relationship with Shopify
Composable Type is a Shopify app and operates within the Shopify platform.
Your use of Shopify is governed by Shopify's own terms and policies.
We are not responsible for Shopify's services, availability, or actions.
3. Account and Installation
To use the Services, you must:
- install the app through Shopify
- grant required permissions
- maintain an active Shopify store
You are responsible for:
- maintaining the security of your account
- ensuring that your store credentials are protected
- all activity that occurs under your account
4. Description of Services
Composable Type provides tools for:
- creating and managing blog content
- publishing pages and posts
- managing templates and themes
- analyzing content performance and engagement
- integrating content with Shopify stores
We may update, modify, or discontinue features at any time.
5. Fees and Billing
If the Services include paid plans:
- fees are billed through Shopify's billing system
- charges may be recurring (e.g., monthly subscription)
- pricing and plan limits may change with notice
You are responsible for all applicable charges incurred through your Shopify account.
6. Acceptable Use
You agree not to:
- use the Services for unlawful purposes
- violate any applicable laws or regulations
- infringe on intellectual property rights
- upload malicious code or harmful content
- attempt to gain unauthorized access to systems
- interfere with the performance or integrity of the Services
We reserve the right to suspend or terminate access for violations.
7. Merchant Responsibilities
You are responsible for:
- the content you create, publish, or distribute
- compliance with applicable laws (including privacy laws)
- obtaining any necessary consents from your customers
- ensuring your use of analytics and tracking complies with regulations
We act as a tool provider and do not control merchant content or practices.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy.
You agree that:
- you have the right to provide any data you submit
- you will comply with applicable data protection laws
- you will not use the Services to process data unlawfully
If we process data on your behalf, you acknowledge that you are the data controller and we act as a processor where applicable.
9. Intellectual Property
Our Rights
The Services, including software, design, and branding, are owned by Smalhaus and are protected by intellectual property laws.
You may not:
- copy, modify, or distribute our software
- reverse engineer or attempt to extract source code
- use our branding without permission
Your Content
You retain ownership of your content.
By using the Services, you grant us a limited license to:
- host, store, and process your content
- display and transmit content as necessary to provide the Services
10. Third-Party Services
The Services may integrate with third-party tools or services.
We are not responsible for:
- third-party services or content
- their availability or performance
- their data practices
Use of third-party services is at your own risk.
11. Service Availability
We aim to provide a reliable service but do not guarantee:
- uninterrupted availability
- error-free operation
- complete accuracy of analytics or reporting
We may perform maintenance or updates that temporarily affect availability.
12. Termination
You may stop using the Services at any time by uninstalling the app.
We may suspend or terminate access if:
- you violate these Terms
- required by law
- necessary to protect the Services or other users
Upon termination:
- your access to the Services will end
- data may be deleted in accordance with our Privacy Policy
13. Disclaimers
The Services are provided "as is" and "as available."
To the maximum extent permitted by law, we disclaim all warranties, including:
- merchantability
- fitness for a particular purpose
- non-infringement
We do not guarantee specific business results, outcomes, or performance.
14. Limitation of Liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, or consequential damages
- we are not liable for loss of profits, revenue, data, or business opportunities
Our total liability is limited to the amount you paid for the Services in the 12 months prior to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Smalhaus and its affiliates, officers, directors, and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Services;
- your content, including any claim that such content infringes or violates the rights of a third party;
- your violation of these Terms or applicable laws or regulations;
- your use of analytics, tracking, or data processing features in violation of privacy or data protection laws;
- your violation of Shopify's terms, policies, or platform requirements.
We reserve the right to assume exclusive control of the defense and settlement of any matter subject to indemnification, and you agree to cooperate with us in defending such claims.
You may not settle any claim that affects Smalhaus without our prior written consent.
16. Changes to the Services or Terms
We may update these Terms from time to time.
We will update the "Last updated" date and, where appropriate, notify you.
Continued use of the Services constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
